ZigMEDIA Ltd. Web Design & Development Agreement
1. Parties
This agreement is between ZigMEDIA Ltd. ("we"/"us") and the client named below ("you").

2. Project Scope
You are engaging ZigMEDIA Ltd. for the design and/or development of your website or digital presence, as outlined in the agreed project brief or proposal. Any change to the scope must be confirmed in writing and may affect deadlines or cost.
3. Authorisation
You authorise ZigMEDIA Ltd. to access your web hosting and/or domain account for the purposes of development, deployment, and any agreed services such as SEO or CMS configuration. You also authorise any third-party service providers (e.g., hosting companies) to allow necessary access.
4. Rates & Payment Terms
Unless otherwise stated in your proposal, work is billed at £80 per hour. A 50% deposit is required to start work. The remaining 50%, along with any agreed-upon expenses, is due upon project completion or prior to going live.
Late Payment: Unpaid balances after 30 days will incur a 5% monthly interest charge. We may suspend services or remove the website from public view until full payment is received.
Returned Payments: Returned cheques will incur a £50.00 admin fee and must be resolved immediately.
5. Timeline & Client Collaboration

We ask that you respond to requests or feedback within 3 working days where possible, to keep momentum and ensure quality.
6. Hosting & ISP
You may host with a provider of your choice or via ZigMEDIA Ltd. We require full FTP and CMS access to carry out development. Hosting contracts with third-party ISPs are your responsibility, unless otherwise agreed upon.
7. Content, Copyright & Responsibility
You guarantee that all content supplied (text, images, branding, etc.) is either owned by you or used with permission. You agree to indemnify ZigMEDIA Ltd. against any claims arising from the use of materials you provide.
If you opt to use ZigMEDIA Ltd.’s copywriting services, we will develop or revise content in line with your brief and tone preferences. You will have the opportunity to review, request amendments, and approve all final content before it is published. ZigMEDIA Ltd. cannot be held liable for factual inaccuracies in content derived from client-supplied materials or instructions.
You retain full ownership of the approved copy upon final payment. Drafts, rejected versions, and preliminary materials remain the intellectual property of ZigMEDIA Ltd. unless otherwise agreed.
8. Reputation-Sensitive Content & Transparency
Sometimes, brand development may involve addressing public perception or client feedback. Any such content will be drafted with sensitivity, clearly marked as internal-use-only, and never published without your written approval.
Our intent is always to help strengthen your brand and build trust, but you retain full control over all messaging and tone.
9. Performance & Liability
ZigMEDIA Ltd. does not guarantee uninterrupted or error-free website performance. You accept full responsibility for testing and approval before launch. We are not liable for any lost profits, damages, or legal claims arising from the use of this site.
10. Ownership & Usage Rights
Upon final payment, you are granted full rights to use the completed website. All proprietary tools, source code, or creative assets developed by ZigMEDIA Ltd. may remain our intellectual property unless explicitly agreed otherwise.
We reserve the right to showcase completed work in our portfolio, unless you request otherwise in writing.
11. Cancellation & Refund Policy
You may cancel the project at any time by providing written notice.
Work completed up to that point will be billed accordingly.
If cancelled within 30 days of deposit and less than 50% of work is complete, the unused portion of the deposit will be refunded. Otherwise, refunds will be pro-rated based on time spent.
12. Working Ethos & Alignment
ZigMEDIA Ltd. works best with clients who value collaboration, clarity, and ethical storytelling.
If at any point the relationship becomes misaligned in terms of values, vision, or respect, we reserve the right to terminate the engagement professionally.
13. Legal Jurisdiction
This agreement is governed by the laws of England and Wales. In the event of a dispute, both parties agree to resolve matters through the Birmingham Circuit Commercial Court.
14. Entire Agreement & Validity
This document reflects our complete understanding.
Any changes must be agreed to in writing. Prices and terms are valid for three (3) months from the date of signing.
